Terms and Conditions of Service for CloudNode™

Effective Date: February 26, 2025

Welcome to CloudNode™! These Terms and Conditions (“Agreement”) govern your use of CloudNode™’s services, including IT solutions, app development, software development, and any other products and services provided by CloudNode™ (“Services”). By accessing or using our Services, you agree to comply with and be bound by the terms outlined below.

1. Acceptance of Terms

By using the Services provided by CloudNode™, you agree to comply with and be bound by these Terms and Conditions. If you do not agree with any of these terms, please refrain from using our Services.

2. Services Provided

CloudNode™ offers a wide range of services to meet your business needs:

  • IT Support and Managed Services: Tailored IT solutions to keep your systems running smoothly.
  • App Development: Web and mobile application development to bring your ideas to life.
  • Software Development: Custom-built software to help your business thrive.
  • Cloud Solutions: Secure, scalable cloud solutions for your infrastructure.
  • IT Consulting: Expert advice on optimizing your business technology.
  • Network Security and Data Protection: Advanced security to protect your business and data from threats.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate, up-to-date, and complete information for the delivery of our Services.
  • Maintain the confidentiality of any login credentials and account information.
  • Use our Services only for lawful purposes and in compliance with applicable laws.

4. Payment Terms

  • All fees for Services will be detailed in the Service Agreement or Invoice provided to you by CloudNode™.
  • Payments must be made within the specified terms and deadlines. Late payments may result in the suspension or termination of Services.
  • CloudNode™ reserves the right to charge interest on late payments at the rate of [Insert Interest Rate]% per month.

5. Intellectual Property

  • CloudNode™ retains full ownership of all intellectual property rights in the software, technology, and proprietary materials used in the provision of our Services.
  • You are granted a limited, non-exclusive, and non-transferable license to use the Services only for the purposes intended, during the term of the agreement.

6. Confidentiality and Data Protection

  • CloudNode™ is committed to safeguarding the confidentiality and security of your data. We will take all reasonable steps to protect your information in accordance with applicable data protection laws.
  • Both parties agree to maintain confidentiality with respect to proprietary information shared during the course of the agreement.

7. Service Availability

  • CloudNode™ strives to provide 99.9% uptime for our Services. However, we cannot guarantee uninterrupted access, as unforeseen technical issues or scheduled maintenance may occasionally occur.
  • CloudNode™ is not responsible for any downtime due to external factors outside of our control, such as third-party providers or force majeure events.

8. Limitation of Liability

  • CloudNode™ will not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our Services, including but not limited to loss of profits, business interruption, or data loss.
  • The total liability of CloudNode™ for any claims arising under this Agreement will not exceed the total amount paid by you for the Services in the last 12 months.

9. Termination

  • Either party may terminate this Agreement with 30 days’ written notice. Upon termination, you will be responsible for paying any outstanding amounts for Services rendered up until the termination date.

10. Governing Law

This Agreement will be governed by and construed in accordance with the laws of Ontario, Canada. Any disputes arising under this Agreement will be subject to the exclusive jurisdiction of the courts of Ontario.
